1. Acceptance of Terms

These Terms & Conditions ("Terms") govern any enquiry, quote, proposal, or engagement between Neura Digital Solutions ("we", "us", "our") and the person or business requesting or purchasing our services ("you", "the client"). By submitting an enquiry, requesting a free audit, or engaging our services, you agree to be bound by these Terms.

2. Our Services

Neura Digital Solutions provides digital services including, but not limited to, business websites, e-commerce websites, website redesigns, and general digital improvements. The free 15-minute digital audit is offered as an introductory, no-obligation review and does not constitute a formal engagement or contract for ongoing services.

Specific project scope, deliverables, timelines, and pricing will be confirmed separately in writing (for example, via a proposal, quote, or invoice) before any paid work begins.

3. No Guarantee of Results

While we design and build websites to a professional standard, we do not guarantee specific business outcomes, including but not limited to increases in traffic, leads, sales, search engine rankings, or revenue. Digital performance depends on many factors outside our control, including market conditions, competitor activity, and how a website or platform is used and maintained after launch.

4. Quotes & Pricing

Quotes are valid for the period stated at the time they are provided, and are subject to change if project scope changes. Final pricing will be confirmed in writing prior to work commencing. All prices are exclusive of GST unless otherwise stated.

5. Payment Terms

Unless otherwise agreed in writing:

• A deposit is required before work on a project begins.
• The remaining balance is due prior to final delivery, handover, or launch of the completed work.
• We reserve the right to pause or suspend work on any project where payment is overdue.
• Deposits and payments for work already completed are non-refundable.

6. Client Responsibilities

To deliver a project on time, we rely on you to provide timely feedback, content, access credentials, and any other information reasonably required. We are not responsible for delays caused by late feedback, missing content, or delayed access on your part.

7. Intellectual Property

All designs, code, and materials we create remain the property of Neura Digital Solutions until the project is paid for in full. Upon full and final payment, ownership of the agreed final deliverables transfers to the client, excluding any third-party assets, licensed stock content, or pre-existing tools and frameworks we use to build the project.

We reserve the right to showcase completed work (including screenshots and descriptions) in our portfolio and marketing materials, unless otherwise agreed with you in writing.

8. Third-Party Services

Projects may rely on third-party platforms and services (for example, hosting providers, domain registrars, Shopify, or other plugins/apps). Any ongoing subscription or usage costs for these services are the responsibility of the client. We are not liable for outages, changes, or issues caused by third-party platforms outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising from or relating to our services is limited to the total amount paid by you for the specific services giving rise to the claim. We are not liable for any indirect, incidental, or consequential loss, including loss of profits, revenue, data, or business opportunity.

10. Termination

Either party may terminate an ongoing engagement with reasonable written notice. Fees for work already completed up to the date of termination remain payable and are non-refundable.

11. Governing Law

These Terms are governed by the laws of New South Wales, Australia, and any disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

12. Changes to These Terms

We may update these Terms from time to time. Any changes will be posted on this page with an updated revision date. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
